1. Introduction

Welcome to Zaqnet by RDS Corp ("Zaqnet," "we," "us," or "our"). These Terms and Conditions ("Terms") establish a legally binding agreement between you (the "User" or "you") and Zaqnet regarding your access to and use of the Zaqnet applications (the "Applications") and any associated services (collectively, the "Services").

By accessing, installing, or utilizing the Services in any way, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you disagree with any provision of these Terms, you are strictly prohibited from using the Services and must immediately cease all access.

2. Eligibility

The Services are intended for authorized personnel of businesses that have entered into a valid subscription agreement with Zaqnet. You must be at least 18 years old and possess the legal capacity to enter into a binding contract to use the Services.

3. User Accounts

To access certain functionalities within the Services, you may be required to create a user account. You are solely responsible for maintaining the confidentiality of your account credentials, including your username and password. It is your obligation to safeguard your account against unauthorized access by selecting a strong password and keeping it confidential. You are also entirely responsible for all activities that occur under your account.

4. Subscriptions and Fees

Zaqnet offers a variety of subscription plans with distinct features and corresponding pricing structures. Access to certain functionalities of the Services may require payment of a subscription fee. The specific pricing and terms applicable to your chosen subscription plan will be clearly presented before you subscribe. You are responsible for all taxes and any additional charges associated with your subscription. Zaqnet reserves the right to modify its subscription plans and pricing at any time, with notification provided.

5. Intellectual Property Rights

The Services, encompassing all content, software, and other materials contained therein, are protected by intellectual property rights, including copyrights, trademarks, patents, trade secrets, and other proprietary rights owned by Zaqnet or its licensors. You are granted a limited, non-exclusive, non-transferable license to access and use the Services solely in accordance with these Terms. This license does not permit you to:

  • Modify, reverse engineer, decompile, disassemble, or create derivative works based on the Services.
  • Reproduce, distribute, transmit, publicly display, or commercially exploit any portion of the Services without Zaqnet's prior written consent.
  • Remove or alter any copyright notices or other proprietary markings from the Services.

6. Acceptable Use

By using the Services, you agree to comply with all applicable laws, regulations, and these Terms. You further agree to refrain from using the Services for any unlawful or unauthorized purposes, including:

  • Damaging, disabling, overburdening, or impairing the Services or any server or network connected to the Services.
  • Uploading, storing, or transmitting any content that is illegal, harmful, threatening, abusive, harassing, defamatory, obscene, hateful, or racially or ethnically offensive.
  • Infringing upon the intellectual property rights of Zaqnet or any third party.
  • Engaging in any conduct that disrupts the normal operation of the Services or interferes with the use and enjoyment of the Services by other users.

7. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. ZAQNET DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND SECURITY. ZAQNET DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. YOU ACKNOWLEDGE AND AGREE THAT YOU USE THE SERVICES AT YOUR OWN RISK.

8. Limitation of Liability

IN NO EVENT SHALL ZAQNET, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES (INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, DATA, OR GOODWILL) ARISING OUT OF OR RELATING TO THE USE OR INABILITY TO USE THE SERVICES, EVEN IF ZAQNET HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THIS LIMITATION OF LIABILITY APPLIES TO ALL CAUSES OF ACTION, WHETHER BASED IN CONTRACT, WARRANTY, TORT (INCLUDING NEGLIGENCE), OR STRICT LIABILITY.

9. Termination

Zaqnet reserves the right to terminate your access to the Services at any time, with or without cause, upon written notice to you. You may also terminate your access to the Services at any time. Upon termination, all rights and obligations granted to you under these Terms will cease to exist. You agree to promptly return or destroy all materials (including all copies) received from Zaqnet or accessed through the Services upon termination. Zaqnet may also, in its sole discretion and without notice, suspend or limit your access to the Services or any portion thereof, at any time and for any reason.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India. You agree to submit to the exclusive jurisdiction of the courts located in Jaipur, Rajasthan, India for the resolution of any disputes arising out of or relating to these Terms or the Services.

11. Entire Agreement

These Terms constitute the entire agreement between you and Zaqnet with respect to the use of the Services and supersede all prior or contemporaneous communications and proposals, whether oral or written.

12. Amendment

Zaqnet may amend these Terms at any time by posting the amended Terms on our website or within the Applications. You are responsible for checking these Terms periodically for any changes. Continued use of the Services after the amended Terms are posted constitutes your acceptance of the amended Terms. If you do not agree to any amendment to the Terms, you must immediately cease using the Services.

13. Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall remain in full force and effect.

14. Waiver

No waiver of any breach of any provision of these Terms shall be construed as a waiver of any other or subsequent breach.
